Indemnification clause

By utilizing our telehealth service, you agree to indemnify, defend, and hold harmless United Medical Group and YourMD.Online LLC, their officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) resulting from your use of our telehealth service, including but not limited to any medical advice or treatment provided by our healthcare providers. 


This means that if you use our telehealth service and a third party makes a claim against us due to your use of the service, you will be responsible for any damages, costs, or expenses we incur as a result of that claim. Upon receiving notice of such a claim, demand, or action, we will make reasonable efforts to notify you. Our failure to notify you does not, however, relieve you of your obligations under this clause unless you can demonstrate that our failure to provide such notice materially prejudiced your defense of the claim. 

We reserve the right to assume the exclusive defense and control of any matter for which you are otherwise obligated to indemnify us, in which case you will cooperate with us in asserting any available defenses. This indemnification provision shall survive your termination of our telehealth services. By utilizing our telehealth service, you acknowledge and consent to this indemnification provision.
